ATROVIAPolicies

End User License Agreement

Effective 16 September 2026 · Version 2026-09-16

This is the agreement between you and Atrovia for the use of our platform. It covers what you are allowed to do with the software, what we are responsible for, what you are responsible for, how billing works, and what happens to your data when you leave. Your business data stays yours, and every business decision stays yours.

Before anything else — the AI part. Atrovia's agents produce recommendations, not decisions. They are experimental, they make mistakes, and you should review their work before you act on it. Section 8 sets this out in full, and there is a plain-English version at atrovia.co/ai-disclosure.

1. Accepting this agreement

This End User License Agreement (the “Agreement”) is a legal contract between Atrovia Corporation (“Atrovia”, “we”, “us”) and the person or business using the platform (“you”, “Customer”).

You accept this Agreement by creating an account, clicking to accept, signing an order form that references it, or using the platform. If you are accepting on behalf of a company, you confirm you have authority to bind that company, and “you” means that company.

If you do not agree, do not use Atrovia.

Our Privacy Policy is part of this Agreement.

2. Definitions

TermWhat it means
PlatformThe Atrovia software, websites, applications, AI agents, APIs and documentation we make available to you.
Customer DataEverything you put into Atrovia or connect to it — your contacts, deals, jobs, financial records, documents, plans, procedures and the data we retrieve from services you authorise.
OutputText, numbers, plans, reports, scores, forecasts and recommendations generated by the Platform, including by our AI agents.
UsersThe people you authorise to use the Platform under your account — your staff, contractors, and any advisors you invite.
OrderYour subscription selection, whether made in the product or on a signed order form.
Connected ServiceA third-party service you link to Atrovia, such as QuickBooks Online, Google, or Meta.

3. Your licence to use Atrovia

Subject to this Agreement and your payment of fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Platform during your subscription, for your own internal business purposes.

This is a licence to use a hosted service. It is not a sale, and no ownership in the Platform passes to you.

You may not, and may not permit anyone else to:

4. Accounts, seats and users

You are responsible for your account, for the accuracy of the information in it, and for everything done under it. Keep credentials confidential, do not share logins between people, and tell us at admin@atrovia.co promptly if you believe your account has been compromised.

Each User must be a named individual. You are responsible for your Users' compliance with this Agreement, and for making sure you have the right to give us any personal information you enter about them or about your own customers.

You must be at least 18 years old and able to form a binding contract.

5. Your data stays yours

The short version

You own your Customer Data. We claim no ownership in it. You grant us only the licence we need to run the service for you — to host, process, transmit, display and back it up, and to provide support when you ask for it.

We do not sell your data, and we do not use your business data to train AI models for other customers.

You are responsible for the Customer Data you put into Atrovia: that you have the right to provide it, that it is accurate, and that your use of it complies with the laws that apply to you — including privacy, employment, marketing and consumer protection law.

We may create anonymised, aggregated statistics that cannot identify you, your Users or your customers, and use them to operate, secure and improve the Platform.

6. Connected services

The Platform can connect to third-party services at your instruction. When you authorise a connection, you are authorising us to access that service on your behalf within the scope you grant, and you confirm you have the right to do so.

Connected Services are operated by other companies under their own terms and privacy policies. We do not control them, we are not responsible for their availability, accuracy or acts, and a change they make can affect how Atrovia works. You may disconnect any Connected Service at any time.

7. QuickBooks and Intuit

If you connect QuickBooks Online, the following apply in addition to the rest of this Agreement:

8. AI agents and their output — read this section

Atrovia includes AI agents that read your data and produce plans, analyses, budgets, prices, scores, forecasts, drafts and recommendations. This section explains what that Output is, what it is not, and who is responsible for what is done with it.

The three things that matter most

1 · Everything the agents produce is a recommendation. Not an instruction, not a decision, and not a guarantee. Nothing an agent says commits you to anything, and nothing an agent says relieves you of deciding for yourself.

2 · The agents make mistakes. AI systems misread context, miscalculate, use a figure that is out of date, and state a wrong answer with complete confidence. This is a known characteristic of the technology, not an occasional defect. Assume any given Output may be wrong until you have checked it.

3 · You make the decision, and you own it. Every campaign you launch, every price you set, every dollar you spend, every person you hire, promote, review or let go is your decision. Review Output before you act on it. You are responsible for the outcome of decisions you make, whether or not Atrovia recommended them.

8.1 Experimental and evolving features

The AI agents, and features that depend on them, are experimental and under active development. Their behaviour, accuracy, wording and availability will change. Some features are offered as previews or betas and may be withdrawn. We make no representation that any agent's Output is accurate, complete, current, suitable for your circumstances, or that it will produce any particular business result.

8.2 Not professional advice

Atrovia is not an accountant, bookkeeper, auditor, lawyer, tax adviser, financial adviser, investment adviser, insurance adviser or human-resources professional, and no agent is any of those things. Nothing the Platform produces is accounting, tax, legal, investment, insurance, regulatory or employment advice, and no professional relationship is created by your use of it. Where a decision has legal, tax, financial or employment consequences, consult a qualified professional who knows your situation.

8.3 Review before you approve

Where the Platform can act on your behalf — sending a message, publishing content, launching or changing a campaign, committing budget, issuing a quote or price, scheduling work, or writing to a Connected Service — it does so only after a person with authority approves it. By approving, you confirm you have reviewed the item and take responsibility for it.

You are responsible for maintaining that review step. Where the Platform offers automation, scheduling, or the ability to reduce the number of approvals required, using those settings is your choice and your risk, and you remain responsible for everything sent, spent, published or committed under them.

We strongly recommend you review, at minimum, before:

8.4 Your numbers, your books

Atrovia derives figures from data you enter and from Connected Services. Output is not a substitute for your books, and not a financial statement. Your records of record are those in your accounting system, and figures in Atrovia may be estimates, may be based on industry defaults where you have not supplied your own, may lag your accounting system, and may be affected by how your accounts are structured. Where the Platform labels a figure as an estimate, treat it as one. Do not file a tax return, sign a loan application, or represent a figure to a third party on the basis of an Atrovia report without confirming it against your books.

8.5 People-related features

Reviews, scores, seat recommendations, hiring gates, capacity signals and performance data are tools to support your judgement. You are the employer and you are the decision-maker. You are responsible for making employment decisions lawfully, including under equal-opportunity, wage-and-hour, privacy and employee-notice laws that apply to you, and for telling your people what is being recorded about them. Do not use Output as the sole basis for an employment decision.

8.6 Marketing and communications

You are responsible for everything sent or published from your account, including compliance with advertising, email, text-messaging, do-not-call, consumer-protection and platform-specific rules, and for the accuracy of every claim made about your business. Agent-drafted copy is a draft.

8.7 Ownership and third-party models

As between you and us, you may use Output for your business purposes. Output may be produced using third-party AI models, in which case their provider's terms apply to that processing. Similar or identical Output may be generated for other customers, and we make no claim that Output is unique, original, or protectable, or that you can prevent others from using similar material. You are responsible for checking that anything you publish does not infringe someone else's rights.

In short: Atrovia is a very well-informed assistant that never gets tired and is sometimes wrong. Use it the way you would use a capable new employee's first draft — read it, question it, and make the call yourself.

9. Acceptable use

You will not use the Platform to:

We may investigate suspected violations and take reasonable action, including removing content and suspending access.

10. Subscriptions, fees and taxes

Fees, the billing period and what is included are set out in your Order. Unless your Order says otherwise:

You authorise us and our payment processor to charge your payment method for all amounts due. Keep your billing details current.

11. Trials, betas and early access

We may offer free trials, pilots, beta features or early access. These are provided as-is, may be changed or withdrawn at any time, may not be supported, and are excluded from any service commitments. Data entered during a trial may be deleted if you do not convert to a paid subscription. Do not rely on a beta feature for a decision you cannot reverse.

12. Our intellectual property

The Platform — including its software, agent designs, prompts, models, methodologies, frameworks, scoring systems, templates, documentation, look and feel, and the Atrovia name and logo — is owned by us and our licensors and is protected by intellectual property law. All rights not expressly granted in section 3 are reserved.

Templates, procedures and other materials we supply may be used within your business for your own operations. They may not be redistributed, resold or published outside your business.

13. Feedback

If you send us ideas, suggestions or feature requests, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or obligation to you. We welcome feedback and would rather you send it freely than worry about this clause.

14. Privacy and security

How we handle personal information is set out in our Privacy Policy. We maintain administrative, technical and physical safeguards designed to protect Customer Data, including encryption in transit and at rest, per-business data isolation, access controls, and storage of third-party access tokens, encrypted with AES-256, in a dedicated secret store.

Where we process personal data on your behalf as a processor, we do so on your documented instructions. If you require a data processing addendum, contact admin@atrovia.co.

No security is perfect. We do not guarantee that the Platform will be free from unauthorised access, and you are responsible for your own credential hygiene and the access you grant your Users.

15. Availability and support

We aim to keep the Platform available and to give you reasonable notice of planned maintenance. Unless your Order includes a written service level agreement, the Platform is provided without an uptime commitment and without a guaranteed response time.

Support is provided by email at admin@atrovia.co during our normal business hours.

16. Disclaimer of warranties

Except as expressly stated in this agreement, the platform and all output are provided “as is” and “as available”, without warranty of any kind. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the platform will be uninterrupted, error-free or secure, that defects will be corrected, or that any output, forecast, score, margin, price or recommendation will be accurate, complete, or produce any particular business result.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

17. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or loss or corruption of data, even if advised of the possibility.

Without limiting the above, we are not liable for any loss arising from a decision you or your users make in reliance on output, including advertising spend, pricing, discounting, purchasing, staffing, hiring, compensation, termination, scheduling, tax or financial reporting decisions. Those decisions are yours.

Each party's total aggregate liability arising out of or related to this agreement will not exceed the total fees you paid or owed to us for the platform in the twelve months immediately before the event giving rise to the claim.

These limits do not apply to: your payment obligations; either party's indemnity obligations; your breach of section 3 (licence restrictions), section 9 (acceptable use) or our intellectual property rights; or liability that cannot be limited by law, including fraud, wilful misconduct, and death or personal injury caused by negligence.

The parties agree these limitations are a reasonable allocation of risk and are a basis of the bargain between them.

18. Indemnity

You will defend and indemnify us against third-party claims, and the reasonable costs and damages awarded or agreed in settlement, arising from: your Customer Data; your use of the Platform in breach of this Agreement or of law; your employment or personnel decisions; your marketing communications; your approval of, or reliance on, Output; or your failure to obtain the rights or consents needed for data you put into the Platform.

We will defend and indemnify you against third-party claims that the Platform, as provided by us and used in accordance with this Agreement, infringes a US patent, copyright or trademark, and pay costs and damages finally awarded or agreed in settlement. This does not apply to claims arising from Customer Data, Output as applied by you, combination with anything we did not supply, or your use in breach of this Agreement. If the Platform becomes the subject of such a claim, we may modify it, obtain a licence, or terminate the affected subscription and refund prepaid unused fees.

The party seeking indemnity must give prompt notice, allow the other party to control the defence, and provide reasonable cooperation.

19. Term, suspension and termination

This Agreement starts when you first accept it and continues until all subscriptions have expired or been terminated.

You may terminate at any time by cancelling your subscription and closing your account.

We may suspend your access, with notice where practical, if your payment is more than 30 days overdue, if your use threatens the security, integrity or availability of the Platform or another customer, or if we are required to by law. We will restore access once the cause is resolved.

Either party may terminate for cause on 30 days' written notice of a material breach that is not cured within that period. We may terminate immediately for a breach of section 3 or section 9.

On termination, your right to use the Platform ends. Sections on your data, intellectual property, feedback, disclaimers, liability, indemnity, governing law and general terms survive.

20. Getting your data out

You can export your Customer Data at any time during your subscription, in the formats the Platform provides. After termination we will keep your data available for export for 30 days, and you can ask us to export it for you during that window.

After that 30-day window, we delete Customer Data in accordance with our Privacy Policy, other than what we must retain by law and residual copies in encrypted backups, which are overwritten on their ordinary cycle.

Your data in a Connected Service — your QuickBooks file, for instance — stays with that service and is not affected by ending your Atrovia subscription.

21. Changes to the service and these terms

We are actively developing the Platform and features will be added, changed and occasionally removed. We will not make a change that materially reduces the core functionality you are paying for during a paid period without giving you notice and, if the reduction is material and you object, the option to cancel and receive a pro-rata refund of prepaid unused fees.

We may update this Agreement. The date at the top shows the current version. For material changes we will give at least 30 days' notice by email or in the product. Continuing to use the Platform after the change takes effect means you accept the updated terms; if you do not accept, stop using the Platform and cancel before the effective date.

22. Governing law and disputes

This Agreement is governed by the laws of the State of California, United States, without regard to conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The parties will try in good faith to resolve any dispute informally first — email admin@atrovia.co with a description of the problem and what you want. If that does not resolve it within 30 days, the state and federal courts located in San Mateo County, California have exclusive jurisdiction, and both parties consent to venue there.

Each party waives any right to a jury trial and to participate in a class or representative action.
